This Terms of Use (“Terms”) constitutes a legally binding agreement between NoYesOffers (the “Company”, “we”, “us”, or “our”), having its principal place of business at _______________[registered office address], Bengaluru, Karnataka, and you (“User”, “you”, or “your”), governing your access to and use of the mobile application and website currently accessible at www.NoYesOffers.com (collectively, the “Platform”).

The Company operates the Platform under the brand name “NoYesOffers”, which is a hyperlocal marketplace designed to enable individuals within nearby locations or neighbourhoods to give away unwanted goods for free or at a nominal or cheaper price, and to discover or request items they need from others in their vicinity. The Platform facilitates a community-driven ecosystem where Users may list items they no longer require, browse items made available by other Users, or actively post requests for specific goods, thereby promoting accessibility, reuse and efficient utilization of resources.

The Platform supports two categories of Users: (i) Users who list and offer goods (“Givers”/ “Owners”), and (ii) Users who browse, request, or receive such goods (“Receivers” / “Members”). The Platform merely acts as a facilitator enabling such interactions and does not own, control, or participate in the exchange of goods between Users.

By accessing, browsing, registering on, or using the Platform in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms, along with all applicable policies incorporated herein by reference. If you do not agree with any part of these Terms, you must refrain from using the Platform.

These Terms constitute an electronic record in accordance with the provisions of the Information Technology Act, 2000, and the applicable rules thereunder, as amended from time to time. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Definition and Interpretation

Definition

Applicable Laws - shall mean and refer to all the laws, rules, ordinances, by-laws, etc., and amendments thereafter, applicable within the territory of India.

Content – shall mean and refer to all the text, advertisement, graphics, User interfaces, visual interfaces, photographs, trademarks, logos, brand names, descriptions, sounds, music, and artwork.

Third Parties – shall mean and refer to all the legal entities either individual or entity linked on the Website and or mobile application apart from the Users and the creator of this Website and Mobile application.

Service – shall mean and refer to the intermediary technology services provided by the Platform, including facilitating the listing, discovery, requesting, and interaction between Users for the purpose of giving away, selling, donating, receiving, or obtaining goods for free or at a nominal or cheaper price on a peer-to-peer basis.

Giver / Owner - shall mean and refer to a User who lists, offers, or makes available goods on the Platform for the purpose of giving away such goods either free of cost or at a nominal or cheaper price.

Receiver / Member - shall mean and refer to a User who browses, requests, accepts, or obtains goods listed on the Platform by a Giver / Owner, either free of cost or at a nominal or cheaper price.

Request- shall mean and refer to any requirement, need, or demand posted by a User on the Platform seeking specific goods from other Users.

Interpretation

Company – For the purposes of these Terms, wherever the context so requires, the terms “We”, “Us”, and “Our” shall mean and refer to NoYesOffers, including its owners, operators, affiliates, and the Platform operated by it.

Platform – For the purposes of these Terms, the term “Platform” shall mean and refer to the website accessible at www.noyesoffers.com, and or mobile application, including any future mobile application, features, content, and services made available by the Company.

User - For the purposes of these Terms, the terms “User”, “You”, “Your”, or “Yourself” shall mean and refer to any natural or legal person who accesses, browses, registers on, or uses the Platform, including for the purpose of listing, offering, requesting, or obtaining goods (whether free of cost or at a nominal or cheaper price), selling or otherwise interacting with other Users, and who is competent to enter into legally binding contracts under Applicable Laws.

The headings of each section in these Terms of Use are only for the purpose of organizing the various provisions under these Terms of Use in an orderly manner and shall not be used by you to interpret the provisions contained herein in a manner as may apply to you. Further, it is specifically agreed by you that the headings shall not have legal or contractual value on your usage of the Website and or Mobile Application.

The Parties shall refer and mean the company and User together, for the purpose of interpretation of terms of this Terms of Use.

The use of this Website and or Mobile Application is solely governed by these Terms of Use, Privacy Policy, and any other relevant policies as updated on the Website and any modifications or amendments made thereto by us from time to time, at our sole discretion. If you as a User continue to access and use this Website and or Mobile Application, you are agreeing to comply with and be bound by the following Terms of Use, Privacy Policy, and any other applicable policies, thereof.

You expressly agree and acknowledge that these Terms of Use and Privacy Policy, and any other applicable policies, are co-terminus in nature and that expiry/termination of either one will lead to the termination of the other.

You unequivocally agree that these Terms of Use, Privacy Policy, and any other applicable policies, constitute a legally binding agreement between us and that you shall be subject to the rules, guidelines, policies, terms, and conditions applicable to your use of the Platform, and that the same shall be deemed to be incorporated into these Terms of Use and shall be treated as part and parcel of the same. You acknowledge and agree that no signature or express act is required to make these Terms of Use and the Privacy Policy binding on you and that your act of visiting/browsing any part of the Website and or Mobile Application constitutes your full and final acceptance of these Terms of Use, Privacy Policy, and any other applicable policies.

We reserve the sole and exclusive right to amend or modify these Terms of Use without any prior permission or intimation to you, and you expressly agree that any such amendments or modifications shall come into effect immediately. Platform Overview

NoYesOffers is a hyperlocal peer-to-peer (P2P) marketplace platform designed to enable Users within nearby locations or neighbourhoods to connect with one another for the purpose of giving away, discovering, or requesting goods that may be available for free or at a nominal or at cheaper price.

The Platform is built on a community-driven concept that facilitates the efficient redistribution of underutilized goods or unwanted goods, allowing Users to offer items they no longer need and enabling others to access such items without incurring significant cost. In addition to browsing available listings, Users may also actively post specific requirements or requests for items they seek, thereby creating a demand-driven ecosystem within their local community.

Items made available on the Platform may include, without limitation, household appliances, furniture, tools, electronics, children’s items, and other everyday goods, whether used or unused.

The Platform acts solely as an intermediary technology interface that facilitates discovery, listing, and interaction between Users. The Company does not own, possess, store, sell, resell, or otherwise exercise control over any items listed on the Platform. All exchanges, arrangements, or understandings in relation to such goods, whether free of cost or for a nominal or cheaper consideration, are entered into directly between Users, and the Company does not participate in or control such interactions.

License to Use (EULA Clause)

The Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform strictly in accordance with these Terms. This license is granted solely for your personal, non-commercial use (unless otherwise expressly permitted by the Company) for the purpose of accessing and using the Services provided through the Platform.

You shall not copy, reproduce, distribute, modify, reverse engineer, decompile, disassemble, or create derivative works based on the Platform or any part thereof. No right, title, or interest in or to the Platform or its content is transferred to you, and all rights not expressly granted are reserved by the Company.

Services on the Platform

Nature of Services

The Platform provides a range of intermediary services intended to enable seamless user interaction and community-based exchange of goods, including:

Enabling Users (Owners or Givers) to list and offer goods for free or at a nominal or cheaper price.

Allowing Users (Members / Receivers) to browse, search and discover goods available within their vicinity or anywhere.

Facilitating Users to post requests for specific goods they require from nearby Users.

Enabling user-to-user communication and engagement for the purpose of coordinating exchange of goods.

Providing features such as ratings, reviews, and feedback, where applicable.

Offering a structured digital environment for hyperlocal sharing, reuse, donating and redistribution of goods.

All Services are provided free of cost to Users; however, the Platform may allow Users to make voluntary contributions or donations to support the Platform, at their sole discretion and without any obligation.

Role of the Platform

The Company’s role is strictly limited to providing and maintaining the Platform as a neutral technology facilitator. The Company does not assume any role beyond enabling interactions between Users.

Without prejudice to the generality of the foregoing, the Company:

Does not act as a buyer, seller, donor, recipient, agent, or intermediary in respect of any goods listed on the Platform

Does not own, possess, verify, inspect, or control any goods listed or exchanged through the Platform

Does not guarantee the quality, condition, safety, legality, suitability, or availability of any goods

Does not determine or influence whether goods are offered free of cost or at a nominal or cheaper price

Does not process, collect, or facilitate payments between Users

Does not mediate or resolve disputes between Users, and shall not be responsible for any loss, damage, or claims arising from user interactions

All decisions relating to listing, selling, requesting, offering, or accepting goods are made solely by Users at their own discretion and risk.

Community and Sustainability Objective

The Platform is intended to promote a community-centric and sustainable model of consumption, including:

Encouraging the reuse and redistribution of goods, thereby reducing waste and promoting environmental sustainability

Enabling Users to access essential or useful items at little or no cost, improving affordability and accessibility

Supporting neighbourhood-level engagement and collaboration, fostering a sense of community and shared responsibility

Reducing unnecessary consumption by facilitating the optimal utilization of existing resources.

Enables a circular economy by helping people reuse, share, and pass on goods.

The Platform seeks to create a mutually beneficial ecosystem where unused goods can be repurposed efficiently, contributing to both individual convenience and broader social and environmental benefits.

Compliance

This Terms of Use is made in accordance with the provisions of the Information and Technology Act, 2000 and the rules therein under along with the amendment from time to time. This Terms of Use is published on the Platform in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 and Rule 4 of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 of Information Technology Act, 2000 amended through Information Technology Amendment Act, 2008 that require publishing the Terms of Use and practices for access and usage of any functional Website.

Registration and Operations

Registration Requirement

To access and fully avail the Services offered on the Platform, Users are required to register and create an account. Registration is completed through verification of the User’s mobile number, along with submission of certain basic details.

As part of the registration process, Users may be required to provide information including but not limited to:

Name

Mobile phone number

Email address (if applicable)

Address and/or location details

The User represents and warrants that all information provided during registration is true, accurate, current, and complete, and undertakes to update such information as necessary to maintain its accuracy.

Account Access and Responsibility

Upon successful registration, a User account will be created. The User shall be solely responsible for maintaining the confidentiality of their account credentials and for all activities carried out through their account. The Company shall not be liable for any unauthorized access or use of the User’s account.

Nature of Access (Registered vs Guest Users)

Certain features of the Platform, including listing goods, posting requests, contacting other Users, and participating in the offering or receiving of goods, are available only to registered Users. Limited browsing functionality may be accessible to unregistered or guest users; however, full access to the Services and the ability to interact with other Users on the Platform shall require prior registration.

No Third-Party Social Login

The Platform currently does not provide login or registration through third-party social networking services. All registrations are completed directly through the Platform using the mobile number verification process.

User Eligibility

By registering on the Platform, the User confirms that they are competent to enter into a legally binding contract under Applicable Laws. Where the Platform is accessed by individuals below the age of 18 years, such use shall be deemed to be under the supervision and consent of a parent or legal guardian.

Information collected about you is subject to our Privacy Policy, which is incorporated in these Terms of Use by reference. Further, at any time during Your use of this Website and or Mobile Application, including but not limited to the time of registration, You are solely responsible for protecting the confidentiality of Your username and password, and any activity under the account shall be deemed to have been done by You. In the case that You provide Us with false and/or inaccurate details or We have reason to believe You have done so, We hold the right to permanently suspend Your account

Eligibility

You represent and warrant that you are competent and eligible to enter into legally binding agreements and of competent age and that you have the requisite authority to bind yourself/themselves to these Terms of Use as per the Applicable Law. However, if you are a minor using this Website and or Mobile Application, you may do so with the consent of your legal guardian. All Acts of the minor shall be deemed to be considered as the acts undertaken under the supervision of their legal guardian.

You further represent that you will comply with these Terms of Use and all applicable local, state, national, and international laws, rules, and regulations.

You shall not use the Website and or Mobile Application if you are not competent to enter into a contract or are disqualified from doing so by any other Applicable Laws, rule, or regulation, currently in force.

Content

General Nature of Content

The Platform operates as a user-driven, peer-to-peer marketplace wherein all listings, requests, descriptions, images, reviews, communications, and other materials made available on the Platform (“Content”) are generated, uploaded, or otherwise provided by Users or Third Parties. The Company does not create, curate, verify, endorse, or control such Content and makes no representations or warranties regarding the accuracy, completeness, authenticity, reliability, legality, or quality of any Content available on the Platform. Any reliance placed on such Content is strictly at the User’s own risk.

User-Generated Content and License Grant

The Platform enables Users to upload, post, publish, and share content, including but not limited to item listings, descriptions, photographs, reviews, and requests (“User Content”). You retain ownership of the User Content submitted by you. However, by uploading or making available any User Content on the Platform, you grant to the Company a worldwide, non-exclusive, perpetual, royalty-free, transferable, and sublicensable license to use, reproduce, host, store, adapt, modify, publish, display, communicate, and distribute such User Content for the purposes of operating, maintaining, promoting, and improving the Platform and its Services. This license shall survive termination of your account or use of the Platform to the extent necessary for the aforementioned purposes.

User Representations and Warranties

You represent and warrant that you have all necessary rights, title, and authority to upload or share any User Content on the Platform and that such User Content does not and shall not violate any Applicable Laws or infringe the rights of any third party, including intellectual property rights, privacy rights, or contractual rights. You further undertake that your User Content shall not be false, misleading, deceptive, defamatory, obscene, offensive, or otherwise unlawful. You shall be solely responsible and liable for any consequences arising from the creation, publication, or sharing of such User Content.

Platform Rights and Content Moderation

The Company reserves the right, but not the obligation, to monitor, review, screen, remove, restrict, or disable access to any Content or User Content, at its sole discretion, without prior notice, if such Content is found to be in violation of these Terms, Applicable Laws, or is otherwise objectionable, inappropriate, or harmful to the Platform or its Users. The Company may also suspend or terminate the account of any User responsible for such Content, without incurring any liability.

No Liability for User Content

The Company shall not be liable for any Content or User Content made available on the Platform, including any errors, omissions, inaccuracies, or misrepresentations therein, or for any loss or damage incurred as a result of reliance on such Content. Any interactions, communications, or transactions arising out of such Content are solely between Users, and the Company disclaims all liability in this regard.

Intellectual Property and Platform Content

All intellectual property rights in and to the Platform, including but not limited to its design, layout, software, trademarks, logos, and proprietary content (excluding User Content), are owned by or licensed to the Company and are protected under Applicable Laws. Users shall not copy, reproduce, distribute, modify, adapt, or create derivative works from any such content without prior written consent of the Company.

Limited Right to Access Content

Subject to compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable right to access and view the Content available on the Platform solely for personal, lawful use. You shall not copy, scrape, extract, or otherwise exploit any Content for commercial purposes or in a manner inconsistent with the intended use of the Platform without prior written permission from the Company.

User Listings and Platform Role

The Platform is a technology-based intermediary that enables Users to list, discover, request, sell and interact with one another for the purpose of giving away, receiving, or obtaining goods for free or at a nominal or cheaper price. The Company’s role is strictly limited to providing access to the Platform and facilitating such user-to-user connections.

All listings, requests, descriptions, images, and related information made available on the Platform constitute user-generated Content and are created and provided solely by Users. The Company does not create, curate, endorse, verify, validate, or control any such Content and makes no representations or warranties in relation thereto.

The Company does not own, possess, store, deliver, or otherwise exercise any control over the goods listed, offered, requested, or exchanged on the Platform. At no point does the Company take custody of any goods or act as a donor, recipient, seller, buyer, agent, or service provider in respect of such goods, irrespective of whether they are offered free of cost or at a nominal or cheaper price.

Users acknowledge that any arrangement, understanding, or exchange relating to goods, including those arising from listings or requests, is strictly between the concerned Users. The Company is not and shall not be deemed to be a party to any such interaction or arrangement and shall have no obligations or liabilities arising therefrom.

Obligations of Users (Givers / Owners and Receivers / Members)

Obligations of Givers / Owners

Users who list or offer goods on the Platform (“Givers”) represent, warrant, and undertake that:

They have valid ownership, lawful possession, or the necessary rights and authority to offer the goods listed on the Platform, and such listing does not infringe the rights of any third party.

All listings, descriptions, images, and information provided in relation to the goods are true, accurate, complete, and not misleading in any manner. Givers / Owners shall not misrepresent the condition, usability, or nature of the goods.

The goods offered are safe for intended use and do not pose any unreasonable risk to health, safety, or property. Givers / Owners shall not list or offer any goods that are illegal, hazardous, defective in a dangerous manner, counterfeit, stolen, or otherwise prohibited under Applicable Laws or under the Platform’s policies.

Givers / Owners shall clearly specify whether the goods are being offered free of cost or at a nominal or cheaper price and shall not engage in deceptive pricing or hidden conditions.

Givers / Owners shall honour any commitment made to a Receiver / Member once they agree to provide the goods and shall act in good faith in all interactions with other Users.

Givers / Owners are solely responsible for the handover, condition, and any representations made in relation to the goods and shall bear all risks and liabilities associated with the same.

Givers / Owners shall ensure that their conduct on the Platform remains lawful, respectful, and in compliance with these Terms at all times.

Obligations of Receivers / Members

Users who browse, request, accept, or obtain goods on the Platform (“Receivers” / “Members”) agree and undertake that:

They shall exercise independent judgment, caution, and due diligence before accepting or obtaining any goods listed or offered on the Platform, including verifying the condition, suitability, and usability of such goods.

They acknowledge that goods made available on the Platform may be used or pre-owned and accept such goods on an “as-is” basis without any reliance on the Company.

They shall not misuse, exploit, or engage in fraudulent conduct in relation to any goods obtained, including making false requests, misrepresenting needs, or engaging in activities that defeat the community-oriented purpose of the Platform.

Receivers shall honour any commitments made to Givers / Owners, including timely communication, collection of goods, and adherence to any mutually agreed terms.

They shall comply with all Applicable Laws in relation to the use, handling, or possession of goods obtained through the Platform.

Receivers / Members shall conduct themselves in a respectful and lawful manner while interacting with other Users and shall not engage in abusive, harmful, or unlawful behaviour.

Common Obligations of Users

All Users, whether Givers / Owners or Receivers / Members, agree that:

They shall use the Platform in good faith and solely for lawful purposes consistent with the intended community-driven nature of the Platform.

They shall not post or transmit any Content that is false, misleading, unlawful, defamatory, obscene, or otherwise objectionable.

They shall not list, request, or exchange any prohibited items, including but not limited to illegal goods, weapons, hazardous materials, counterfeit products, or any items restricted under Applicable Laws.

They are solely responsible for their interactions with other Users and for any outcomes arising from such interactions.

They shall not attempt to misuse, disrupt, or interfere with the functioning of the Platform, including through unauthorized access, data scraping, or fraudulent activity.

Prohibited Items and Restricted Use

The Platform is intended to facilitate the lawful and safe exchange of goods within a community-driven environment. Users shall not list, offer, request, share, or otherwise make available any items, Content, or engage in any activity that is unlawful, harmful, misleading, or inconsistent with the intended purpose of the Platform.

Without prejudice to the generality of the foregoing, Users expressly agree not to list, request, or exchange any of the following categories of items:

Any goods that are illegal, stolen, misappropriated, or otherwise unlawfully obtained, or the possession, distribution, or transfer of which is prohibited under Applicable Laws.

Weapons of any kind, including firearms, ammunition, explosives, or any other items capable of causing harm or injury.

Hazardous, dangerous, or regulated materials, including but not limited to chemicals, flammable substances, toxic materials, or items requiring special handling, licensing, or regulatory approval.

Counterfeit, pirated, or infringing goods, including any items that violate intellectual property rights, trademarks, copyrights, or other proprietary rights of any third party.

Perishable goods, food items, medicines, medical devices, or health-related products, unless expressly permitted under applicable law and compliant with all regulatory requirements.

Items that are defective, unsafe, or unfit for use in a manner that may pose a risk to health, safety, or property.

Any goods or materials that are obscene, offensive, defamatory, or otherwise objectionable, including items that promote hatred, violence, or discrimination.

Any items or services that require a license, registration, or regulatory approval to be lawfully transferred, unless the User possesses and complies with such requirements.

Users further agree that they shall not:

Misrepresent the nature, condition, ownership, or availability of any goods listed or requested on the Platform.

Use the Platform for any fraudulent, deceptive, or unlawful purpose, including impersonation, misrepresentation, or exploitation of other Users.

Engage in any activity that disrupts, interferes with, or compromises the integrity, security, or proper functioning of the Platform.

Use the Platform to solicit or promote commercial activities unrelated to its intended purpose, including unsolicited advertising, spam, or unauthorized promotions.

Circumvent or attempt to circumvent any safeguards, policies, or restrictions implemented by the Company.

The Company reserves the right, at its sole discretion and without prior notice, to remove any listing, request, or Content, or to suspend or terminate access to the Platform, where it reasonably believes that a User has violated this Clause or any Applicable Laws. Such actions shall be without prejudice to any other rights or remedies available to the Company under law.

Users acknowledge that the Company does not actively monitor all Content or listings on the Platform; however, the Company reserves the right to take appropriate action upon becoming aware of any violation. Users are encouraged to report any prohibited items or suspicious activity to the Company.

Safety and User Conduct

The Platform is designed to facilitate interactions between Users. Users are expected to act responsibly, exercise caution, and maintain respectful conduct at all times while accessing or using the Platform and while interacting with other Users, whether online or offline.

Users acknowledge that all interactions facilitated through the Platform, including the offering, requesting, giving away, selling or receiving of goods, involve engagement with independent individuals, and the Company does not supervise, control, or guarantee the conduct of any User. Accordingly, Users agree to exercise independent judgment, due diligence, and appropriate caution when communicating with or meeting other Users.

Users shall ensure that all communications and interactions conducted through or in connection with the Platform are respectful, lawful, and free from harassment, abuse, threats, intimidation, discrimination, or any form of inappropriate behaviour. Any conduct that is harmful, offensive, or that violates the dignity or rights of other Users is strictly prohibited.

Users shall not engage in any activity that may compromise the safety or security of other Users, including but not limited to sharing misleading information, impersonating another person, or attempting to exploit or deceive other Users. Users are solely responsible for safeguarding their personal information and should not disclose sensitive information to other Users unless they are comfortable doing so at their own risk.

Where interactions between Users extend beyond the Platform, including for the purpose of exchanging goods, Users acknowledge that such interactions occur at their own risk. The Company does not verify the identity, background, or credentials of Users and does not conduct any background checks. Users are advised to take reasonable precautions, including meeting in safe and public locations, verifying the identity of the other party, and ensuring the safety and suitability of any goods prior to exchange.

The Company reserves the right to take appropriate action, including restricting, suspending, or terminating access to the Platform, where it reasonably believes that a User has engaged in unsafe, unlawful, or inappropriate conduct. Such action may be taken without prior notice and without prejudice to any other rights or remedies available under Applicable Laws.

Users are encouraged to promptly report any suspicious, unsafe, or inappropriate behaviour encountered on the Platform. While the Company may review such reports and take action where appropriate, it shall not be obligated to monitor, investigate, or resolve all such complaints.

No Liability for User Interactions (Peer-to-Peer Disclaimer)

All interactions, exchanges, and arrangements conducted through the Platform, including the giving away, selling, requesting, receiving, or obtaining of goods, are undertaken directly between Users on a peer-to-peer basis, at their sole discretion and risk. The Company does not guarantee, warrant, or assume any responsibility for the quality, safety, legality, condition, ownership, suitability, or availability of any goods listed or requested on the Platform.

The Company shall not be responsible or liable for any issues arising in connection with user interactions, including but not limited to non-availability of goods, refusal to provide or accept goods, misrepresentation, defective or damaged goods, delay or failure in exchange, or any misunderstanding between Users.

The Company shall further not be liable for any loss, damage, injury, or harm arising from the use, misuse, handling, or inability to use any goods obtained through the Platform, or from any reliance placed on listings, requests, or representations made by other Users.

Users expressly acknowledge and agree that they engage with other Users and rely on any Content available on the Platform at their own risk and are solely responsible for conducting appropriate verification, inspection, and due diligence prior to entering into any arrangement.

The Company expressly disclaims all liability arising out of or in connection with any user-to-user interaction, exchange, sale or arrangement, including any disputes, claims, or damages resulting therefrom.

Indemnity

DISPUTE RESOLUTION AND JURISDICTION

These Terms shall be governed and interpreted by and construed in accordance with the substantive laws of India and subject to arbitration provisions below, each party hereby irrevocably and finally submits to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India thereto in respect of any disputes, legal action or proceedings arising out of or in connection with the Terms, interpretation, duties, performance, breach, etc. of these Terms.

Should any Dispute arise out of or in connection with these Terms, the Parties hereto shall first endeavor to settle such Dispute amicably. If the Dispute is not resolved through amicable settlement within fifteen (15) days after commencement of discussions or such longer period as the Parties mutually agree in writing, then either Party may refer the Dispute for resolution by arbitration according to the provisions of the Arbitration and Conciliation Act, 1996 (India) or any statutory amendment or re-enactment thereof, or any statute enacted to replace the same, for the time being in force. The arbitration shall be conducted by a sole arbitrator appointed by mutual consent of the parties. The seat and venue of arbitration shall be in Bangalore, Karnataka, India, and the language of the proceedings shall be English.

The Award rendered in any arbitration commenced hereunder shall be final and conclusive, and judgment thereon may be entered in any court having jurisdiction for its enforcement. The Parties undertake to implement the arbitration award. In addition, the Parties agree that no Party shall have any right to commence or maintain a suit or legal proceeding concerning a Dispute hereunder (other than for preventive or interlocutory relief pending completion of the arbitration proceedings under these Terms) until the Dispute has been determined in accordance with the arbitration procedure provided for herein and then only for the enforcement of the award rendered in such arbitration. When any Dispute is under arbitration, except for the matters under dispute, the Parties shall continue to exercise their remaining respective rights and fulfil their remaining respective obligations under these Terms.

MISCELLANEOUS PROVISIONS
